These Terms and Conditions (“Agreement”) govern your access and use of Claws Academy Ltd (“Claws Academy,” “we,” “us,” or “our”) services, including our website, courses, and any other products or services provided. This Agreement is legally binding between you (“User,” “you,” or “your”) and Claws Academy Ltd (trading as “Claws Academy”). By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
 
Accounts & Membership
– Eligibility: To use Claws Academy’s services, you must be at least 16 years old. By agreeing to these terms, you confirm that you meet this age requirement.
 
– Account Security: You are responsible for maintaining the confidentiality of your account and password. You agree to immediately notify Claws Academy of any unauthorised use or breach of security. Claws Academy is not liable for any losses caused by unauthorised use of your account.
 
– Employer Accounts: For corporate users, the employer may track your learning progress. Corporate administrators may be able to access reports on employees’ course completion and engagement metrics.
 
Subscription & Payments
– Fees: Fees for access to courses will be detailed in your subscription plan. By signing up for the Service, you agree to the pricing terms, which may change with notice. Fees are charged according to the agreed billing cycle (monthly/annually).
 
Intellectual Property Rights
Claws Academy provides access to proprietary content, including but not limited to online courses, instructional materials, videos, documents, templates, and quizzes (“Content”). This content is the intellectual property of Claws Academy Ltd or its licensors.
 
– Ownership: All Content provided by Claws Academy is owned exclusively by Claws Academy Ltd or its licensors. By using our Services, you do not acquire any ownership rights in any Content.
  
– Licence: Upon purchasing a subscription, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Content solely for personal, non-commercial purposes. This licence is strictly for individual use and does not entitle you to reproduce, modify, adapt, distribute, sell, or create derivative works from any content provided by Claws Academy.
 
– Prohibited Activities: You may not:
            
– Copy, redistribute, or make available any course materials or Content without prior written consent from Claws Academy.
 
– Share, lease, lend, sell, or transfer access to the Content to third parties, including uploading any materials to third-party websites, apps, or services.
 
– Reverse-engineer, decompile, or otherwise extract source code or underlying ideas from any part of our platform, including course modules and digital content.
 
– Circumvent or disable any Content protection systems, including any digital rights management or access restrictions on Claws Academy’s platform.
 
– Breach & Remedies: Unauthorised use of the Content is a violation of this Agreement and will result in immediate termination of your licence to use our platform. In the event of a breach, Claws Academy reserves the right to pursue legal action to protect its intellectual property rights, including but not limited to seeking injunctive relief, damages, and any other remedies available under law.
 
Data Security & Privacy
– Data Collection: Claws Academy collects and processes personal data, including your name, email, billing information, and progress on the platform. All data is collected in compliance with GDPR (General Data Protection Regulation) and, for South African users, POPIA (Protection of Personal Information Act).
  
– Data Use: Your data will be used for the purpose of providing access to the Services, tracking course completion, issuing certificates, and improving our platform.
  
– Third-Party Data Processors: We may share your data with third-party service providers (e.g., payment processors, cloud storage providers) strictly for the purpose of operating and improving our services. – Corporate Accounts: If you are part of a corporate account, your learning data may be visible to your employer. You agree to comply with any additional usage policies your employer may impose.

– Integration with Third-Party Tools: Claws Academy may integrate with third-party services, such as payment gateways or video hosting platforms. Your use of these services is subject to the terms and conditions of the respective third-party providers.
 
– Disclaimer of Liability: Claws Academy does not assume any responsibility or liability for third-party services used in conjunction with our platform. Any issues related to such services should be addressed directly with the provider.
 
Content Availability & Modifications
– Course Content: While Claws Academy strives to provide uninterrupted access to all courses, we reserve the right to modify, update, or remove Content at any time without prior notice.
 
– Service Modifications: We may make changes to the platform or services to improve functionality or comply with regulatory requirements. Users will be notified in advance of any significant changes.
 
Third-Party Content and Tutor Liability
Claws Academy aims to provide accurate and high-quality educational content through both its platform and its tutors. However, we cannot guarantee that all information provided by third-party content creators or our tutors is free from errors or omissions. By using our services, you acknowledge that Claws Academy Ltd is not liable for any inaccuracies, mistakes, or misrepresentations made by third-party content providers or tutors, including but not limited to, advice, opinions, or other content shared during courses, webinars, or other educational sessions.
 
All documents and resources available through our Document Library are provided for informational purposes only. While we strive to ensure the accuracy of all documents at the time of publication, we cannot guarantee that they will remain accurate, complete, or up-to-date. You agree to use any materials downloaded from the Document Library at your own discretion and risk. Claws Academy assumes no liability for any actions you take based on the content of these documents or for any subsequent changes in legislation, regulations, or industry standards that may render these materials outdated or incorrect. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. If you are located outside of the UK, local consumer protection laws may also apply. Any disputes arising from this Agreement will be resolved exclusively in the courts of England and Wales.
 
Termination of Service
Claws Academy reserves the right to suspend or terminate your account at its discretion for violations of this Agreement or any misconduct that threatens the integrity or reputation of our platform.
 
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, depending on the location of the transaction and the governing laws agreed upon. By using the Services, you agree that any disputes arising from or relating to the use of the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, as applicable based on the place of purchase or service provision. If you purchase our products or services while located in another country, please be aware that other countries may have consumer protection laws that might apply in addition to UK law. In such cases, the laws of the country in which you reside may afford you additional rights.
 
Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations.
